The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement for Aguila American Gold Ltd. announced April 18, 2011:

Number of shares:  3.84 million shares

Purchase price:  45 cents per share

Warrants:  1.92 million share purchase warrants to purchase 1.92 million shares

Warrant exercise price:  65 cents for a two-year period

Hidden placees:  51

Agents' fees:  $138,240 cash, 281,700 agent's warrants and 125,000 corporate finance fee units payable to Canaccord Genuity Corp.; 25,500 agent's warrants payable to Wolverton Securities Ltd.; each agent's warrant is exercisable into one common share at 65 cents for two years; each corporate finance fee unit has the same terms as the units in this private placement
